1. Introduction

These Terms and Conditions (“Terms”) govern your use of the services provided by Studio Ozz Genève (“we,” “us,” “our”), a sole proprietorship based in Geneva, Switzerland. By engaging our services or accessing our website, you agree to be bound by these Terms.

2. Services

Studio Ozz Genève provides digital services including, but not limited to:

Branding & Visual Identity
Web & Digital Presence Design
Production Studio (Photography, Video, AI Concepts)
Virtual Corporate Office & Administrative Support

All services are performed based on the specific Statement of Work (SOW) or proposal agreed upon between the Client and Studio Ozz Genève. In the event of a conflict, the specific terms of the SOW shall prevail over these general Terms.

3. Client Responsibilities

To ensure the timely delivery of services, the Client agrees to:

Provide all necessary content, assets, and information in a timely manner.
Provide timely feedback and approvals on drafts and deliverables.
Ensure that all content provided by the Client does not infringe upon the intellectual property rights of third parties.
Grant Studio Ozz Genève permission to use final deliverables for portfolio and marketing purposes, unless otherwise agreed in writing.

4. Payment Terms

Invoicing: Invoices are issued upon project commencement or upon completion of specific milestones as defined in the SOW.
Payment Due: Payment is due within 14 days of the invoice date unless otherwise specified.
Late Payments: Overdue payments may incur interest at a rate of 5% per annum or the maximum rate allowed by Swiss law.
Currency: All payments must be made in Swiss Francs (CHF).

5. Intellectual Property (IP)

Transfer of Rights: Upon full payment of all fees, the Client shall own the final deliverables created specifically for the Client.
Pre-Existing Materials: Studio Ozz Genève retains all rights to any pre-existing tools, code, templates, or AI models used in the creation of the deliverables.
AI-Generated Content: For services involving AI-generated visuals (OZZ VISION™), the Client acknowledges that AI tools may produce content with varying levels of certainty. Studio Ozz Genève warrants that the service was performed with professional care, but does not guarantee 100% uniqueness or the absence of third-party claims regarding AI outputs.

6. Revisions and Changes

Revisions: The project quote includes a defined number of revision rounds (e.g., 2 rounds). Additional revisions or changes requested after final approval will be billed at an hourly rate.
Scope Creep: Any changes to the project scope that significantly alter the original SOW may require a supplementary agreement and additional fees.

7. Confidentiality

Both parties agree to keep all confidential information exchanged during the project strictly confidential. Studio Ozz Genève will not disclose the Client’s business information, data, or assets to third parties without prior written consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by Swiss law, Studio Ozz Genève’s total liability for any claim arising out of these Terms or the services provided shall be limited to the total amount paid by the Client for the specific project giving rise to the claim. Studio Ozz Genève shall not be liable for any indirect, special, or consequential damages, including loss of profits or data.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland.
